SAMPLE — NOT FINAL. This is a draft for discussion so churches can see the terms we intend to offer. It is not legal advice and is not yet an offer. The final agreement will be reviewed by an attorney and may change.
1. Purpose
The Church may share Angel Warrior with its members. In return, the Developer pays the Church a share of the ad revenue earned from those members' play and an equal share of a partner fund, as set out below.
2. Church link and Church Players
- Before the Church joins, the Developer confirms it is a real, active church (for example by its address, website or a pastor's contact). The Developer then gives the Church a unique link, QR code and church code.
- A player becomes a "Church Player" by opening the game through the Church's link or by entering the Church's code in the game. The game stores only the Church's code on the player's device. No names, emails or other personal details are collected or shared.
- The church code only identifies which church to credit. It never unlocks features, content or rewards in the game, and it never pays or rewards the player in any way.
- Revenue from a player who has entered a church code is credited only to the church whose code the player entered.
- Fallback. Some players install through the Church's link but never open it in the game or enter a code. Only for players who never entered a code, the Developer uses Apple's own campaign report, which counts downloads made through the Church's link. To make sure no player is counted twice, the Church's "uncoded downloads" for a quarter are its reported campaign downloads minus its new code entries in that quarter (never below zero). The Church is credited with the same share of the remaining revenue from players with no church code as the Church's share of all partner churches' uncoded downloads. Apple's report includes only players who chose to share analytics with developers, so this count may be lower than the true number.
- A player belongs to one church at a time. If a player enters a different church's code, the player's future play counts for that church.
3. Revenue share
- The Developer pays the Church 100% of Net Ad Revenue from Church Players.
- "Net Ad Revenue" means the money the Developer actually receives from ad networks for ads shown to Church Players, after the ad networks' own fees and after any deductions, refunds or adjustments they make.
- Partner Fund. Each quarter the Developer places 75% of the Net Ad Revenue from all players who are not Church Players of any partner church into a Partner Fund, divided equally among all Qualifying Churches for that quarter.
- A "Qualifying Church" is a partner church with at least 25 Church Players who played during that quarter.
- Both shares begin with the first version of Angel Warrior that shows ads. Earlier versions, including the launch version (v1.0), contain no ads and earn no revenue.
4. Payments
- Payments are made quarterly, within 45 days after the end of each quarter, by check or bank transfer.
- The minimum payment is $25. A smaller balance rolls over to the next quarter and is never lost.
- Each payment includes a statement with the ad report figures used to calculate it.
- If an ad network later reduces revenue for a quarter already paid (for example, for invalid activity), the Developer may deduct that amount from future payments.
5. Founding partner rate and changes
- The 100% member share and the 75% Partner Fund are guaranteed for 12 months from the date the first version with ads is released (the "Founding Partner Rates").
- After that, the Developer may change either percentage with at least 60 days' written notice. Any change applies only to revenue earned after the change takes effect, never to revenue already earned.
6. Promoting the game
- The Church may promote Angel Warrior freely: announcements, bulletins, slides and social posts.
- The Church will not ask, encourage or reward anyone to view or click ads, and will not use extra devices, emulators, scripts, paid players or any other artificial means to generate plays or ad views. Ad networks prohibit this, and it can close the ad account for every partner church.
- If the Church breaks this section, the Developer may end this agreement immediately, withhold any revenue connected to the prohibited activity, and remove the Church from the Partner Fund.
7. Age and privacy
Angel Warrior is rated 13+ on the App Store. The Church will not direct its promotion at children under 13. Player privacy is handled under the Angel Warrior privacy policy.
8. No guaranteed earnings
Ad revenue depends on how many Church Players play and on ad rates, which change. The Developer does not guarantee any amount of revenue.
9. Names and logos
The Developer may list the Church as a partner by name. The Church may use the Angel Warrior name, logo and screenshots to promote the game.
10. Ending the agreement
Either party may end this agreement with 30 days' written notice (email is enough). Any balance earned before the end date is paid with the next quarterly payment, even if it is under $25.
11. General
- The parties are independent. This agreement does not create a partnership, employment or agency relationship.
- Payments are a revenue share for promotion, not a donation. Each party is responsible for its own taxes and records. The Developer may ask for a W-9.
- Neither party is liable to the other for indirect or consequential losses. The Developer's total liability is limited to the amounts owed under section 3.
- This agreement is governed by the laws of the State of California.
- This is the entire agreement. Changes must be in writing, except rate changes made under section 5.
